General Terms and Conditions (GTC)
§ 1 Scope and Provider
(1) These General Terms and Conditions apply to all contracts for paid services that you initiate or enter into with Winim GmbH, operating under the IDES24 brand, Unnenberger Str. 5, 51709 Marienheide (hereinafter “IDES24,” “we”), via the website www.ides24.de or in connection with it.
(2) Our fee-based services are intended exclusively for business entities as defined in § 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. No contracts for fee-based SAPAccess with consumers (§ 13 BGB) are concluded through our website.
(3) Any conflicting terms and conditions of the customer are hereby rejected; they shall become part of the contract only upon express written consent.
§ 2 Subject Matter of the Agreement and Role of IDES24
(1) The subject matter of the contracts is the provision of access to preconfigured SAP sandbox systems (remote access) and related support services.
(2) We do not develop the SAP systems ourselves; rather, they are provided and technically operated by our partner, Michael Management Corporation (MMC), as the supplier. IDES24 acts as a service provider (reseller) and, in particular, provides administrative, financial (billing), and related services. IDES24 is your contractual and billing partner.
(3) To the extent that we provide links to MMC’s offers (in particular, online training courses and single-user/shared-userAccess), these are referral links (affiliate links). Any contract for these services is entered into exclusively between you and MMC; in such cases, MMC’s terms and conditions apply.
§ 3 Formation of the Contract
(1) The descriptions of the systems and prices on our website, as well as the PDF quotes that can be generated using the online configurator, do not constitute a binding offer but rather a non-binding invitation to submit an inquiry.
(2) By submitting a request (e.g., via the configurator or by email), you are asking us, without obligation, to provide a quote. We will then submit a binding quote to you in writing (e.g., by email), which you may accept within 14 days, unless a different deadline is specified in the quote.
(3) The contract for a dedicated SAP-Access is concluded through a separate Software-as-a-Service agreement between IDES24/Winim GmbH (Service Provider), MMC (Supplier), and you (Customer). There is no shopping cart, checkout, or online ordering system for these services.
(4) Information relevant to the contract is primarily transmitted via email. You must ensure that the email address you provide is accurate and that receipt is technically guaranteed (in particular, that it is not blocked by spam filters).
§ 4 Priority of the Software-as-a-Service Agreement
With regard to the scope, term, renewal, termination, compensation, authorized users, warranty, liability, and data protection for SAP-Access , the provisions of the respective Software-as-a-Service agreement shall take precedence. In the event of any conflicts, the provisions of that agreement shall prevail over these Terms and Conditions. These Terms and Conditions apply in a supplementary capacity.
§ 5 Prices and Payment
(1) The prices listed in the respective binding offer shall apply. Prices are net and do not include applicable statutory sales tax, if any; for cross-border services within the EU, the reverse-charge procedure may apply.
(2) Invoices are issued by IDES24. Unless otherwise agreed, invoices are due immediately without deduction to Access . The available payment methods are specified in the respective quote or invoice.
§ 6 Term, Renewal, Termination
The term, automatic renewal, and notice periods are governed by the applicable Software-as-a-Service agreement. Unless otherwise specified therein, the agreed-upon term is automatically extended for the agreed-upon period, unless notice of termination is provided to IDES24 in writing no later than 30 days before the end of the term.
§ 7 Rights of Use and Permitted Use
(1) The Access is provided for training, education, testing, and development purposes. Reselling or redistributing the Access is not permitted.
(2) Any access credentials received must be treated as confidential. Use by the customer’s authorized employees, consultants, and contractors within the scope of the acquired licenses is permitted; however, the disclosure of individual access credentials to persons outside the customer’s company is prohibited.
(3) Content and software are protected by the respective copyright holders.
§ 8 Warranty and Liability
(1) The warranty and liability provisions of the respective Software-as-a-Service agreement apply to SAP-Access .
(2) In all other respects, IDES24 shall be liable without limitation in cases of willful misconduct and gross negligence, as well as in cases of culpable injury to life, body, or health. In cases of simple negligence, IDES24 shall be liable only for a breach of a material contractual obligation (cardinal obligation), limited to foreseeable damages typical for this type of contract. Any further liability is excluded. Liability under the Product Liability Act remains unaffected.
§ 9 Governing Law and Jurisdiction
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The law applicable to the Software-as-a-Service agreement is determined by the terms of the respective agreement.
(2) The exclusive venue for all disputes arising out of or in connection with these General Terms and Conditions is the registered office of IDES24 (Cologne), provided that the customer is a merchant, a legal entity under public law, or a special fund under public law.
(3) Should any individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected.
