General Terms and Conditions (T&Cs)
Section 1 Scope and Provider
(1) These General Terms and Conditions apply to all contracts for paid services you enter into with Winim GmbH, operating as IDES24, Unnenberger Str. 5, 51709 Marienheide (hereinafter "IDES24", "we"), either through our website www.ides24.de or in connection with it.
(2) Our paid services are intended exclusively for business entities as defined in § 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. Contracts for paidAccess consumers (§ 13 BGB) are not concluded via our website.
(3) We don't accept any differing terms and conditions from the customer; they'll only become part of the contract if we explicitly agree to them in writing.
Section 2 Subject Matter of the Contract and IDES24's Role
(1) The contracts are all about providing Access to pre-configured SAP sandbox systems (remote access) and the related support services.
(2) We don't actually produce the SAP systems ourselves; they're provided and technically operated by our partner, Michael Management Corporation (MMC), as the supplier. IDES24 acts as a service provider (reseller), mainly handling administrative, financial (invoicing), and supporting services. So, IDES24 is your contract and invoicing partner.
(3) To the extent that we provide links to MMC’s offerings (in particular, online training courses andAccess), these are referral links (affiliate links). Any contract for these services is concluded exclusively between you and MMC; in such cases, MMC’s terms and conditions apply.
Section 3 Formation of the Contract
(1) The systems and prices shown on our website, along with any offer PDFs generated by our online configurator, aren't binding offers. Instead, they're just a non-binding invitation for you to make an inquiry.
(2) When you send us an inquiry (for example, through the configurator or by email), you're essentially asking us to provide a non-binding offer. We'll then send you a binding offer in writing (like an email), which you can accept within 14 days, unless the offer specifies a different timeframe.
(3) The contract for dedicatedAccess through the conclusion of a separate Software-as-a-Service agreement between IDES24/Winim GmbH (service provider), MMC (supplier), and you (customer). There is no shopping cart, checkout, or online ordering system for these services.
(4) We'll mostly send contract-related info via email. So, please make sure the email address you provide is accurate and that you can technically receive our emails (especially that they aren't blocked by spam filters).
§ 4 Precedence of the Software-as-a-Service Agreement
With regard to the scope, term, renewal, termination, compensation, authorized users, warranty, liability, and data protection forAccess , the provisions of the respective Software-as-a-Service agreementAccess precedence. In the event of any conflicts, the provisions of that agreement shall prevail over these Terms and Conditions. These Terms and Conditions apply in addition.
§ 5 Pricing and Payment
(1) The prices listed in the respective binding offer are what you'll pay. Prices are net, plus statutory VAT where applicable; for cross-border services within the EU, the reverse-charge procedure might be used.
(2) Invoices are issued by IDES24. Unless otherwise agreed, invoices are Access immediately upon Access , without any deductions. The available payment methods are specified in the respective quote or invoice.
§ 6 Term, Renewal, Termination
The term, automatic renewal, and termination periods are all based on your specific Software-as-a-Service agreement. Unless that agreement states otherwise, your subscription will automatically renew for the agreed-upon period, unless you terminate it in writing to IDES24 at least 30 days before the current term ends.
§ 7 Usage Rights and Permitted Use
(1) Access provided for training, educational, testing, and development purposes. Reselling or redistributing Access not permitted.
(2) Any access credentials you receive must be kept confidential. Authorized employees, consultants, and contractors of the customer can use them within the scope of the acquired licenses; however, sharing individual access credentials with anyone outside the customer's company is not allowed.
(3) Content and software are protected by their respective rights holders.
§ 8 Warranty and Liability
(1) The warranty and liability provisions of the respective Software-as-a-Service agreementAccess to SAPAccess .
(2) Beyond that, IDES24 is fully liable for intentional acts, gross negligence, and any culpable harm to life, body, or health. For simple negligence, IDES24 is only liable if an essential contractual obligation (cardinal duty) is breached, and liability is limited to the typical, foreseeable damages for that type of contract. Any further liability is ruled out. Liability under the Product Liability Act remains unaffected.
§ 9 Choice of Law and Jurisdiction
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The specific law applicable to the Software-as-a-Service agreement will be determined by that individual contract.
(2) For any disputes arising from or related to these General Terms and Conditions, the exclusive place of jurisdiction is IDES24's registered office (Cologne), assuming the customer is a merchant, a legal entity under public law, or a special public fund.
(3) If any individual provisions are or become invalid, the validity of the remaining provisions will not be affected.
