These Terms of Use govern Access and use of the IDES24 (Winim GmbH) website, as well as the relationship regarding our services. By using our website, you agree to these terms.

1. Provider and Scope

The provider is Winim GmbH, operating under the brand name IDES24, Unnenberger Str. 5, 51709 Marienheide, Germany (hereinafter “IDES24,” “we”). These Terms of Use apply to business entities, legal entities under public law, and special funds under public law (hereinafter “Users” or “Customers”). No contracts forAccess are concludedAccess consumers via our website.

2. Our Services and Role

(1) Through our website, we provide information about SAP sandbox systems and enable the creation of customized quotes. We do not develop the SAP systems ourselves; they are provided by our partner, Michael Management Corporation (MMC). As part of the dedicatedAccess , weAccess as a service provider (reseller) and provide administrative, financial, and support services.

(2) When we link to offers from our partner MMC (especially online trainings and individual access), these are referral links (affiliate links). Any contract for these services is concluded exclusively between you and MMC; MMC's terms and conditions and privacy policy apply. We may receive a commission for the referral, but this doesn't incur any additional costs for you.

3. Relationship to the Software-as-a-Service Agreement (Precedence)

(1) A dedicated SAP account is provided on the basis of a separate Software-as-a-Service agreement concluded between MMC (Supplier), IDES24/Winim GmbH (Service Provider), and you (Customer). The service relationship regardingAccess isAccess only upon the conclusion of this agreement.

(2) With regard to the scope, term, renewal, termination, compensation, authorized users, warranty, liability, and data protection forAccess , the provisions of the respective Software-as-a-Service AgreementAccess exclusively. In the event of any conflict between these Terms of Use and the Software-as-a-Service Agreement, the provisions of the Software-as-a-Service Agreement shall prevail. These Terms of Use govern the use of our website in addition to the Software-as-a-Service Agreement.

4. Website Usage

(1) You agree not to misuse our website, specifically by not
• Bypassing security measures or manipulating the website or its provided functionalities;
• Automatically extracting (scraping) the website or its content, or over-utilizing it;
• Submitting illegal, offensive, or rights-infringing content via forms.

(2) The content on our website (texts, graphics, logos, structure) is protected by copyright and intellectual property rights. Any use beyond simply viewing the website – especially reproduction, editing, or distribution – requires our prior consent.

5. Access Data and Permitted Use of SAP Systems

In addition to the provisions of the Software-as-a-Service Agreement, the following applies: Any access credentials received must be treated as confidential and protected from unauthorized access. Disclosing individual access credentials to persons outside the customer’s company is prohibited; however, use by the customer’s authorized employees, consultants, and contractors within the scope of the purchased licenses is permitted. Access to the SAP systems is granted for training, education, and development purposes; reselling or redistributing the Access not permitted.

6. Liability

(1) The liability provisions of the respective Software-as-a-Service agreementAccess to SAPAccess .

(2) For everything else, especially regarding the provision of the website and the information available there, IDES24 is fully liable for intent and gross negligence, as well as for injury to life, body, or health. In cases of simple negligence, IDES24 is only liable for the breach of a material contractual obligation (cardinal duty), the fulfillment of which is essential for the proper execution of the contract and on which the user may regularly rely; in this case, liability is limited to the foreseeable damages typical for the contract. Any further liability is excluded. Liability under the Product Liability Act remains unaffected.

8. Changes to these Terms of Use

We reserve the right to adjust these Terms of Use for future effect, for example, in case of changes to our offerings or the legal situation. The current version will always be published on this page.

9. Final Provisions

(1) These Terms of Use and the use of our website are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The law applicable to the Software-as-a-Service agreement is determined by the respective contract.

(2) The exclusive place of jurisdiction for disputes arising from the use of this website, provided the user is a merchant, a legal entity under public law, or a special fund under public law, is the registered office of IDES24 (Cologne).

(3) Should individual provisions of these Terms of Use be invalid, the validity of the remaining provisions remains unaffected.
