These Terms of Use govern the Access and the use of the IDES24 (Winim GmbH) website, as well as the relationship regarding our services. By using our website, you agree to these terms.

1. Provider and Scope of Application

The provider is Winim GmbH, operating under the brand name IDES24, Unnenberger Str. 5, 51709 Marienheide, Germany (hereinafter “IDES24,” “we”). These Terms of Use apply to business owners, legal entities under public law, and special funds under public law (hereinafter “Users” or “Customers”). Contracts with consumers regarding SAP-Access s are not concluded via our website.

2. Our Services and Role

(1) Through our website, we provide information about SAP sandbox systems and enable the creation of customized quotes. We do not develop the SAP systems ourselves; they are provided by our partner, Michael Management Corporation (MMC). Within the framework of the dedicated SAPAccess , we act as a service provider (reseller) and provide administrative, financial, and support services.

(2) To the extent that we provide links to offers from our partner MMC (in particular, online training courses and individual access), these are referral links (affiliate links). Any contract for these services is entered into exclusively between you and MMC; MMC’s terms and conditions and privacy policy apply. We may receive a commission for referring customers; this does not result in any additional costs for you.

3. Relationship to the Software-as-a-Service Agreement (Priority)

(1) A dedicated SAP account is provided on the basis of a separate Software-as-a-Service agreement concluded between MMC (Supplier), IDES24/Winim GmbH (Service Provider), and you (Customer). The service relationship regarding the SAPAccess is established only upon the conclusion of this agreement.

(2) With regard to the scope, term, renewal, termination, compensation, authorized users, warranty, liability, and data protection for SAPAccess , the provisions of the respective Software-as-a-Service agreement shall apply exclusively. In the event of any conflict between these Terms of Use and the Software-as-a-Service Agreement, the provisions of the Software-as-a-Service Agreement shall prevail. These Terms of Use govern the use of our website on a supplementary basis.

4. Use of the Website

(1) You agree not to misuse our website, in particular:
• to circumvent security measures or manipulate the website or the features provided through it;
• to automatically extract data from the website (scraping) or place an excessive load on it;
• to submit illegal, offensive, or rights-infringing content via forms.

(2) The content of our website (text, graphics, logos, layout) is protected by copyright and related rights. Any use beyond simply viewing the website—in particular, reproduction, modification, or distribution—requires our prior consent.

5. Login Credentials and Permitted Use of SAP Systems

In addition to the provisions of the Software-as-a-Service Agreement, the following applies: Any access credentials received must be treated as confidential and protected from unauthorized access. Disclosing individual access credentials to persons outside the Customer’s company is prohibited; however, use by the Customer’s authorized employees, consultants, and contractors within the scope of the purchased licenses is permitted. Access to the SAP systems is granted for training, education, and development purposes; resale or redistribution of the “ Access ” is not permitted.

6. Liability

(1) The liability provisions of the respective Software-as-a-Service agreement apply to SAP-Access .

(2) In all other respects, particularly with regard to the provision of the website and the information available on it, IDES24 bears unlimited liability in cases of willful misconduct and gross negligence, as well as in cases of injury to life, limb, or health. In cases of simple negligence, IDES24 is liable only for the breach of a material contractual obligation (cardinal obligation) whose fulfillment is essential for the proper performance of the contract and on whose compliance the user may reasonably rely; in this case, liability is limited to foreseeable damages typical for this type of contract. Any further liability is excluded. Liability under the Product Liability Act remains unaffected.

8. Changes to These Terms of Use

We reserve the right to amend these Terms of Use with future effect, for example, in the event of changes to our offerings or the legal situation. The most current version will be published on this page.

9. Final Provisions

(1) These Terms of Use and the use of our website are governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods. The law applicable to the Software-as-a-Service agreement is determined by the respective agreement.

(2) The exclusive venue for disputes arising from the use of this website is the registered office of IDES24 (Cologne), provided that the user is a merchant, a legal entity under public law, or a special fund under public law.

(3) Should any provision of these Terms of Use be invalid, the validity of the remaining provisions shall remain unaffected.
